ORDER. The1 Complaint does not allege an adequate basis for the Court's subject matter jurisdiction under 28 U.S.C. § 1332. "If subject matter jurisdiction is lacking and no party has called the matter to the court's attention, the court has the duty to dismiss the action sua sponte." Durant, Nichols, Houston, Hodgson & Cortese-Costa P.C. v. Dupont , 565 F.3d 56, 62 (2d Cir. 2009). The Complaint alleges that Plaintiff Venatus Media, Inc. "is a domestic corporation organized under the laws of Delaware with its principal place of business [in New York]," Defendant Infinite Reality, Inc. "is a domestic corporation organized under the laws of Delaware with its principal place of business [in Connecticut]," and Defendant ReKTGlobal, Inc. "is a domestic corporation organized under the laws of Delaware with its principal place of business [in Massachusetts]." ECF No. 1 ¶¶ 2-4. Under 28 U.S.C. § 1332(c), a "corporation shall be deemed to be a citizen of every State by which it has been incorporated and of the State where it has its principal place of business." "If either the corporation's place of incorporation or principal place of business destroys diversity, then the courts will not have diversity jurisdiction." Sty-Lite Co. v. Eminent Sportswear Inc. , 115 F. Supp. 2d 394, 398 (S.D.N.Y. 2000). Since the plaintiff and both defendants were all allegedly incorporated in Delaware and are therefore all citizens of Delaware, the parties are not diverse. "[T]he party who seeks the exercise of jurisdiction" in federal court "must allege in [its] pleading the facts essential to show jurisdiction." McNutt v. General Motors Acceptance Corp. , 298 U.S. 178, 189 (1936). Therefore, no later than May 7, 2024 , the plaintiff shall SHOW CAUSE why this case should not be dismissed for lack of subject matter jurisdiction. Signed by Judge Michael P Shea on 4/23/2024.
