OPINION AND ORDER: re:7 MOTION to Dismiss the Complaint filed by American Medical and Life Insurance Company. Because Cassoli has not sufficiently alleged that AMLI experienced a "change in control" -the condition precedent to plaintiff receiving a severance payment-he fails to state a claim upon which relief can be granted.
