![]() STIPULATION AND SCHEDULING ORDER: NOW, THEREFORE, IT IS HEREBY STIPULATED AND AGREED, and respectfully requested by and among the undersigned attorneys for the respective parties, subject to approval of the Court, as follows: 1. Within 60 days after the Court's approval of this Stipulation, Lead Plaintiff shall file an amended complaint or designate the Initial Complaint the operative complaint. 2. Within 60 days after the filing of an amended complaint (or designation of the Initial Complaint as the operative complaint), the Stipulating Defendants shall answer, move to dismiss, or otherwise respond thereto. Should the Stipulating Defendants elect to move to dismiss, they need not seek a pre-motion conference or file a pre-motion letter, and briefing on such motion to dismiss will proceed on the schedule set forth herein, except as set forth in the note on the following page. 3. Lead Plaintiff's brief in opposition to such motion to dismiss shall be filed within 60 days after the filing of such motion. 4. The Stipulating Defendants may file a reply brief in further support of any motion to dismiss within 30 days after the filing of Lead Plaintiff's opposition brief. Unless the parties opt to bundle the motion papers (meaning they serve each other but do not file until the motion is fully briefed, extensions of the briefing schedule are unlikely. 5. If a deadline herein falls on a weekend or federal holiday, the deadline will move to the next business day. 6. The parties expressly preserve all other rights, defenses, and arguments, including without limitation as to jurisdiction. NOTE: If Defendants move to dismiss, Plaintiff shall, within 10 days, to notify the Court whether he intends to file an amended pleading, or will rely on the pleading being attacked. If he elects not to amend, the motion will proceed in the regular course, and the Court is unlikely to grant a further opportunity to amend to address the issues raised by the motion. If Plaintiff amends, within 21 days of such amendment Defendants may answer, file a new motion to dismiss, or notify the Court that it will rely on the initially filed motion. IT IS SO ORDERED. AND NOW THIS 2nd day of December 2024, the Court having considered Mitchell's Motion for (1) Appointment as Lead Plaintiff, and (3) Approval of Co-Lead Counsel and all supporting documents, it is hereby ORDERED as follows: LEAD PLAINTIFFS: 1. Mitchell's motion to serve as Lead Plaintiff in the Consolidation Action is GRANTED. CO-LEAD COUNSEL: 2. Mitchell's motion for approval of his counsel, Milberg and Ademi as Co-Lead Counsel is GRANTED. 3. Co-Lead Counsel shall manage the prosecution of the Action to avoid duplicative or unproductive activities. Co-Lead Counsel shall be responsible for coordination of all activities and appearances on behalf of Lead Plaintiff and the Class and for dissemination of all notices and orders. Co-Lead Counsel alone shall speak for Lead Plaintiff and the Class and Co-Lead Counsel are solely responsible for communications between Lead Plaintiff and the Class and the Court. 4. Co-Lead Counsel shall have the following duties and responsibilities to perform or delegate as appropriate, as further set forth herein. 5. Service of pleadings and other papers by Defendants shall be made upon Co-Lead Counsel, who are authorized and directed to accept service of such pleadings and other papers on behalf of all plaintiffs in the Action. 6. Defendants and their counsel may rely upon agreements made with Co-Lead Counsel. Such agreements are binding on all plaintiffs in the Action and the Class. 7. Pursuant to Section 21D of the Exchange Act, all parties shall treat all documents, data compilations, and tangible objects that are in his, hers, or its custody or control and that are relevant to the allegations of any related actions as if they were the subject of a continuing request for production of documents from an opposing party under the Federal Rules of Civil Procedure.
