NOTICE AND ORDER: This case was transferred to this Court from the United States District Court for the Western District of Washington on August 24, 2026. On November 14, 2025, Plaintiff Argolica, LLC filed its23 Amended Complaint alleging that the basis for subject matter jurisdiction in this case is diversity of citizenship under 28 U.S.C. 1332 and substituting the new Plaintiff, Argolica, LLC for the former Plaintiff, Oak Harbor Capital, LLC for. R. Doc. 23, para. 4. The Amended Complaint affirmatively alleges an amount in controversy above $75,000. R. Doc. 23, para. 4 (see also para. 10, asserting that the amount owed to Plaintiff is at least $350,000). The Amended Complaint also adequately alleges the citizenship of Defendant SN Servicing (AK, LA). R. Doc. 23, para. 3. However, the Amended Complaint does not properly allege Plaintiff's citizenship. Plaintiff allegedly has one member, Argolica Holdings Trust, which is a "Delaware statutory trust that conducts its primary legal, administrative, and operational activities from Seattle, Washington." R. Doc. 23, paras. 1-2. Delaware law defines a "statutory trust" as an unincorporated association, which would take the citizenship of each of its members. Del. Code Ann. tit. 12, § 3801(i). Each member of an unincorporated entity must be specifically identified, and citizenship alleged as to each. This requires tracing an unincorporated association's citizenship through the necessary layers until a natural person or corporation is reached. Nunez v. ACE Am. Ins. Co., No. 17-1593 2017 WL 6997341, at *4 (M.D. La. Dec. 28, 2017), report and recommendation adopted, No. 17-1593 2018 WL 493398 (M.D. La. Jan. 16, 2018) (discussing the citizenship allegations required for another type of unincorporated association (a limited liability company or "LLC"). Further, the citizenship of a trust may be determined in more than one way, depending on the nature of the trust. See Americold Realty Trust v. Conagra Foods, Inc., 577 U.S. 378, 383-84 (2016) (stating that the citizenship of a traditional trust would be determined by the trustee's citizenship but if the trust is some other form of unincorporated entity, its citizenship would be determined by the citizenship of its members). It appears that in this case that the citizenship of Argolica Holdings Trust would be determined by that of its members. However, the Amended Complaint contains no citizenship information for any members, trustees, or beneficiaries of Argolica Holdings Trust, so the current allegations are insufficient regardless of the type of entity Argolica Holdings Trust is. Accordingly, IT IS ORDERED that by no later than September 1, 2026, Plaintiff Argolica, LLC shall file a motion for leave, with a self-contained Amended Complaint attached, that properly alleges Plaintiff's citizenship by more specifically stating the nature of Argolica Holdings Trust and by identifying the name and citizenship of the relevant members or trustees and beneficiaries of the trust.
